1. Agreement to terms

By accessing or using the NetAesthetics website at netaesthetics.com, or by engaging NetAesthetics LLC for services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our website or services. These terms apply to all visitors, users, and clients.

2. Services

NetAesthetics LLC ("NetAesthetics", "we", "us", or "our") provides AI consulting, assessment, strategy, and implementation services. Specific deliverables, timelines, pricing, and scope are defined in individual Statement of Work agreements or engagement letters executed between NetAesthetics and each client. In the event of conflict between these Terms and a signed engagement agreement, the signed engagement agreement controls.

3. Intellectual property

All custom AI systems, code, models, and documentation created for a client under a paid engagement agreement are the sole property of that client upon full payment. NetAesthetics retains no ownership or licensing rights to client-specific deliverables. NetAesthetics retains all rights to pre-existing tools, frameworks, methodologies, and intellectual property used during the engagement but not specifically created for the client.

The NetAesthetics website, branding, marketing materials, and general content are the property of NetAesthetics LLC and may not be reproduced without written permission.

4. Confidentiality

NetAesthetics treats all client information as confidential and executes mutual non-disclosure agreements (NDAs) at the start of every client engagement. Client details, including company names, project specifics, and proprietary data shared during engagements, are not disclosed to third parties without explicit written permission from the client.

5. Payment terms

Payment terms are specified in individual engagement agreements. Standard terms are 50% due at kickoff and 50% due upon delivery of the final deliverable, unless otherwise specified in writing. All prices are in United States Dollars (USD). Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower.

6. Limitation of liability

To the maximum extent permitted by applicable law, NetAesthetics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or related to the use of our services. Our total liability to any client for any claim arising from services rendered shall not exceed the total fees paid by that client in the six months preceding the claim.

7. Disclaimer of warranties

AI systems involve probabilistic outputs and statistical models. NetAesthetics does not warrant that any AI system will be free of errors, produce 100% accurate results, or perform without interruption. Performance benchmarks and ROI projections provided during engagements are estimates based on historical data and are not guarantees of future performance.

8. Governing law

These Terms are governed by the laws of the District of Columbia, United States, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or our services shall be resolved exclusively in the courts of the District of Columbia.
